1. What Mycelium Is

3. Your Data — Ownership

3.1. You own your data. All messages, documents, files, and content you create or upload to Mycelium remain your property. We do not claim any ownership or intellectual property rights over your content.

3.2. License to operate. By using Mycelium, you grant us a limited license to process, store, and transmit your data solely for the purpose of providing the service to you. This license terminates when you delete your data or close your account.

3.3. No training on your data. We do not use your data to train AI models, build datasets, sell to advertisers, or for any purpose other than providing the service directly to you.

3.4. Data portability. You can export your data at any time. We will provide reasonable assistance for data export requests.

4. Acceptable Use

You agree not to use Mycelium to:

4.1. Violate any applicable law or regulation.

4.2. Upload content that infringes the intellectual property rights of others.

4.3. Attempt to access other users' data or systems.

4.4. Use the service to develop competing AI products by reverse-engineering our systems.

4.5. Deliberately attempt to generate harmful, illegal, or abusive content through the AI.

4.6. Exceed reasonable usage limits or abuse the service in a way that degrades it for other users.

We reserve the right to suspend or terminate accounts that violate these terms.

5. The Service — What We Provide

5.1. AI-powered assistance. Mycelium uses large language models to process your messages and generate responses. AI outputs are generated content and may contain errors, inaccuracies, or biases. You should not rely on AI outputs as professional, legal, medical, or financial advice.

5.2. Embedding and organization. Mycelium generates mathematical representations (embeddings) of your content to enable search, clustering, and knowledge organization. These embeddings are derived from your data and stored as part of the service.

5.3. Availability. We aim to provide reliable service but do not guarantee uninterrupted availability. We may perform maintenance, updates, or experience outages. For managed hosting customers, we will make reasonable efforts to minimize downtime and communicate planned maintenance in advance.

5.4. Changes to the service. We may modify, update, or discontinue features of Mycelium at any time. For significant changes that affect your use of the service, we will provide reasonable notice.

6. Pricing and Payment

6.1. Pricing. Current pricing is published on our website.

6.2. Monthly subscriptions. Monthly subscription prices may change with 30 days' notice to existing customers.

6.3. Long-term subscriptions. If you purchase a multi-year or decade subscription, your rate is locked for the duration of your current subscription term. Price adjustments, if any, apply only at renewal.

6.4. Infrastructure cost adjustments. If the cost of third-party infrastructure required to operate Mycelium (including but not limited to cloud compute, AI model inference, bandwidth, and storage) increases by more than 20% relative to costs at the time your subscription began or was last renewed, we may adjust pricing to reflect the proportional increase in underlying costs, subject to the following:

6.5. Right to cancel on price increase. If we increase your subscription price under Section 6.4, you may cancel your subscription within 30 days of receiving notice of the increase. In such case, you will receive a pro-rata refund for the unused portion of your subscription term at the original price.

6.6. Payment. Subscriptions are billed at the start of each billing period (monthly, annual, or as otherwise agreed). Payment is due at the start of each billing period.

6.7. Refunds. If you are unsatisfied with the service within the first 14 days, contact us for a full refund. After 14 days, refunds are at our discretion, except as provided in Section 6.5.

6.8. Cancellation. You may cancel your subscription at any time. Service continues until the end of the current billing period. Upon cancellation, you will have 30 days to export your data before it is deleted.

7. Limitation of Liability

7.1. Mycelium is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied.

7.2. We are not liable for any decisions you make based on AI-generated content. AI outputs may be incorrect, incomplete, or inappropriate.

7.3. While we take reasonable measures to protect your data, we are not financially liable for any loss of data, interruption of service, or inability to access your data, whether caused by technical failure, third-party service outages, security incidents, or other circumstances beyond our reasonable control.

7.4. We are not liable for the actions, data handling, outages, or security of third-party providers.

7.5. To the maximum extent permitted by applicable law, our total aggregate liability shall not exceed the total amount you paid to us in the 12 months preceding the claim.

7.6. To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

7.7. Estonian law limitation. Nothing in these Terms excludes or limits liability for damage caused intentionally, as prohibited under the Estonian Law of Obligations Act (Võlaõigusseadus, § 106). Liability for death or personal injury caused by negligence cannot be excluded.

8. Security Incidents

8.1. We implement reasonable technical and organizational measures to protect your data, including encryption at rest and in transit.

8.2. In the event of a security incident that affects your personal data, we will notify you without undue delay, and in any case within 72 hours of becoming aware.

8.3. Notification of a security incident does not constitute an admission of liability.

8.4. Your responsibility. You are responsible for the security of your own devices, credentials, and encryption keys. We are not liable for unauthorized access resulting from compromised credentials on your end.

9. Intellectual Property

9.1. Mycelium, including its software, design, documentation, and branding, is owned by [COMPANY LEGAL NAME] and protected by intellectual property laws.

9.2. These Terms do not grant you any rights to our intellectual property beyond what is necessary to use the service.

9.3. For self-hosted users: the Mycelium software is licensed under AGPL-3.0.

10. Termination

10.1. By you. You may stop using Mycelium at any time. For managed hosting, cancel your subscription and export your data within the 30-day window.

10.2. By us. We may suspend or terminate your access if you violate these Terms, engage in abuse of the service, or fail to pay for managed hosting after reasonable notice.

10.3. Effect of termination. Upon termination, your right to use the service ends. For managed hosting, we will retain your data for 30 days after termination to allow export, then delete it.

11. Dispute Resolution

11.1. These Terms are governed by the laws of the Republic of Estonia.

11.2. Any disputes shall be subject to the exclusive jurisdiction of Harju County Court (Harju Maakohus), Tallinn, Estonia.

11.3. Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.

12. Force Majeure

12.1. Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the affected party's reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions or regulations, third-party service provider failures or material pricing changes, internet or infrastructure outages, or changes in applicable law.

12.2. The affected party must notify the other party without undue delay upon becoming aware of a force majeure event and take reasonable steps to mitigate its effects.

12.3. If a force majeure event continues for more than 90 consecutive days, either party may terminate the affected subscription by written notice. In such case, you will receive a pro-rata refund for any unused portion of your prepaid subscription term.

13. General

13.1. Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mycelium.

13.2. Severability. If any provision is found to be unenforceable, the remaining provisions continue in full force.

13.3. No waiver. Failure to enforce any provision does not constitute a waiver of that provision.

13.4. Assignment. We may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.

13.5. Changes to Terms. We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use after changes take effect constitutes acceptance.
